A joint stock company is an enterprise in
which the charter capital is divided into units of
equal value called shares, the person who has
shares is called a shareholder. A shareholder’s
liability for the company’s debts and liabilities is
equal to the amount of capital contributed to
the company by the shareholder.

- Company’s liability: The Company’s liability for
the company’s debts and liabilities is equal to the
amount of capital
- Jurisdiction: A joint stock company has the
status of a juridical person from the day on which
the Certificate of Enterprise Registration is issued
- Shares: free to transfer
- Increase charter capital: may issue shares,
bonds and other kinds of securities.

3.1 Ordinary shares
- This type of share is the basic share in the joint stock
company
- The holder of ordinary shares is the ordinary
shareholder.
- Each ordinary share equals one vote in the General
Meeting of Shareholders
- Ordinary shares can not be converted into preference
shares.

- Ordinary shares are free to be transferred.
- Underlying ordinary shares: Non-voting depository
receipts have interest and obligations proportional to
the underlying ordinary shares, except voting rights
